Is it manipulation to say you are going to close a deal shortly after New Years and then not do it? LOL. There are a lot of reasons they could say they didn't.
Read the OTC REQUIREMENTS, if I recall correctly, there is a $5k fine per SEC late filing. If a company is being strategic those fines may be assumed and accepted at a later day, rather than tip my cap of the direction of the company.
