No it says all the assets in bold. There is no wiggle room to say all the IP wasn’t included (aside from the pages and pages of IP obviously set forth in the APA).
Why would I include a sentence about not assigning rights to another party’s IP? The point is 100% of Bioambers IP was transfered.
Why would it matter that someone else’s IP (that was leased to BioAmber wasn’t transferred) was not mentioned? It wasn’t owned by BioAmber. It also clearly states “These assets comprise ALL the companies assets” ALL means ALL. Everything is clearly listed in the APA so why bother trying to state something wasn’t sold like the IP when it’s clearly listed in the APA as well as defined in the bids, spelled out in the definitions of the APA and stated on LCYB’s LOI?
