May be I'm wrong but I thought that management has to report any SIGNIFICANT CHANGE IN THE COMPANY. That's kind of a law aimed at protecting shareholders from insider's hidden activities.
As I said, either the CEO hides what is going on or nothing worth mentionnin is effectively going on.
