No, it is totally exclusive of that. It is an offering of registered shares for sale to a private investors (or groups) for a set amount or range of share price set by the company. A RegA-1 has a maximum of $20 Million that can be sold, so if the company decides to set the Offering at 1.00, then the maximum number of shares they can sell/issue is 20 Million. The good news is that whatever they set the price at, the actual share price will almost immediately jump to that price and higher. This is where the fact that the Float is so tightly held will allow Dryworld to set a much higher share price because for the RegA investors to buy the same number of shares in the open market, they would drive the price way higher and not even be assured to get the shares they wanted. The set price of the RegA is more attractive to the big investors. All IMHO
