I think they are for 2 reasons. (1) To use to have a majority in the proxy vote to move FCCN to a 1934 SEC act corp. status and (2) to aquire(as said to me) a total 15% stake in the newly formed co.

Not all the escrow shares have to be used to accomplish this just enough in the final share count to ensure a 15% cut of the new co.! Mr. TrendGreen
