Maybe you can share with us how an affiliate to the company can sell without disclosing to the public through an SEC Form 10 filing? Last I checked, it's impossible.
Unless you want to start a conspiracy theory that would involve the brokerage firm selling the shares, the transfer agent lifting the restrictive legend off of the securities, the SEC counsel that would have to write the legal opinion, etc.
