The share buy back I agree with, except they may have the Co buy back their shares( insiders and KK shares) knowing they will be issued new pref shares under Zen. There is no doubt they will do a RS probably 1-1.5 years from the inception of the deal and after issuing more conversions on a slow pace not really affecting the pps.
