Oh... And Wrong. One can buy an SEC registered penny stock shell for 50 - 100 thousand. Maybe 200 for a really clean one.

He could also simply file a Form 10 with 2 years of audited financials then distribute some stock to some folks that hold it for a year. Then apply for a ticker with FINRA And, Walla... Publicly tradable.
