No, Holmes doesn't have to disclose anything to the SEC because LLBO is non-reporting.

Holmes can sell and buy LLBO stock without telling the SEC or anyone else, unless he brings LLBO up to Pinksheet Current, at which time he has to disclose to otcmarkets.com how many shares he owns, as he last did in 2019: see page 6, item #7
