Very very obvious. “Capital raise” is JUST a coating word for the actual reason of the delay, which is a “M/A”. Jay did NOT deny this when he was asked whether the S-1 is dependent on a merger.

Once again, S-1 is waiting on the completion of a merger or acquisition transaction.
