You know i have often asked myself this question and noone seems to answer - why would (in this fictitious merger) need BIOA shares? Why wouldn't they just raise their own funds with their own share IPO? BIOA sold everything except for office crap and A/R, cash which couldn't be very significant, especially for a merger to WANT.
