S1 is uploaded by the company and the SEC will give comments on it through EDGAR for anything that must be fixed. Until it is titled EFFECTIVE by the SEC, nothing can be legally sold from the offering. S1 should have comments within 1 month after upload, where this has sat 5 months without a peep.
