Yes, completely. The fairy tale is a multi-billion dollar company "merges in" and generously gives those holding the O/S equity ownership of their company for nothing. The truth is it's a scam to sell stock. Real companies don't do that. Real companies do proper IPO's when they are ready to "go public," and its for the purpose of selling new stock to the public to raise money for themselves for growth. They sell the stock and they get the money. The stock in the O/S here (and elsewhere the fairy tale is told) was sold long ago and the money is gone.
