Well, I do believe that it isn't Joe's responsibility to file financials. However, since he claims to know nothing of the business, at the same time as saying that "now" things are different. He does stand guilty of pumping a stock in order to make money off of the gullible. He can't have it both ways and not stand accused. IMO
