I believe you are using what you are calculating to be a "conversion cost", which is not the same as the "conversion price" and the term you've created may cause some confusion. The conversion price doesn't take into consideration the difference between the discounted purchase price ($982.50) and the stated value ($1,080).
Obviously those adjustments benefit the preferred investors and the end result in terms of common shares received is the same.

"the effective conversion cost is $0.1332 per share",
but the conversion price is $.1741 times 85% or $.148 (using your "lowest VWAP for the past 10 trading days ($0.1741 on Jan 13th)").

I only mention this because many of the elements of the Purchase Agreement and the Certificate of Designation rely on the conversion price (e.g. "required minimum" authorized share availability)...it's a critical measure in many calculations...and no use at all is made of your "conversion cost".
