PBS HOLDING, INC. 919 W. 29th ST Cheyenne, WY 82001

PRESS RELEASE – FOR IMMEDIATE RELEASE PBS Holding Inc., (PBHG) New Shareholders Updates:

Dallas, TX- October 15, 2019 – PBS Holding, Inc. (OTC: “PBHG”), (the “Company”),

Today the company is announcing the signing, and completion of its “Three Phase” program involving asset acquisitions. The company acquired a Non Profit Organization, Professionals For American Youth, Pfay.org., (www.prosforyouth.org) an Arizona 501(c) (3) corporation (“PFAY”).

This completes “Phase One”, by providing a high-profile platform and provenance that will enhance our Starfest Enterprise system. PFAY, will enhance several of our products and lines; such as Nutraceuticals and Nutritional, Sports and Entertainment as well as Arts, while bringing along and adding patented sports and related product lines to our product offerings.” Stated Edward Vakser, Chairman/CEO.

The company developed an acquisition path using its preferred share structure in order to create a fully developed portfolio, while not exposing its common stock nor creating additional debt or notes that otherwise could pressure the market.

“We had renegotiated and retired debt and notes in order to give the “Holding Company” a greater chance and opportunity for success. By acquiring the companies with our preferred, and not doing “mergers” per se, this will protect us and help achieve our goals and company’s plans without the fear of “notes” and reverse stock splits looming and/or being dictated by new management. We designed a “Three Phase” acquisition formula, so I can firmly commit that there will be no RS!” Exclaimed very excited Edward Vakser, Chairman /CEO, PBS Holding Inc. ........

PBS Holding Inc. Is currently updating and upgrading its “Enterprise Software Sales Portal” for its direct sales group and sales channel. www.starfestdirect.com .......... https://www.prnewswire.com/news-releases/pbs-holding-inc-pbhg-new-shareholders-updates-300938839.html

In a nutshell, Eddie "acquired" the non-profit equivalent of an Eddie Vakser ticker.. in other words, a one man operation with hardly a pulse that does little or nothing. In fact, this article from 2018 tells how PFAY's founder Mark Hannah --despite all of his alleged sports celebrity friends-- was good friends with a grifter who claimed to raise money for charities by striking deals with convenience stores and restaurants to put collection jars at their checkout counters. Only problem is most of the money benefited everyone but the kids. According to Hannah--

"Kentucky resident Mark Hannah, who described himself as a longtime friend of Carpenter’s, runs a small nonprofit called Pros for America’s Youth that was near-extinct after 30 years. He said Carpenter-related fundraisers saved the day by providing his charity with $10,000 a year from 2015 to 2017.

Hannah said he flew to Arizona several times to attend children’s events put on by Carpenter and was pleased with what he saw. He said he knew Carpenter’s cash-jar solicitors were keeping half the money and supported it because their job isn’t easy.

“I thought they deserved it,” he said.

The watchdog Charity Navigator has no info in this outfit except that it does provide a link to their IRS filings for 2012, 2013, 2014 and 2017. Interesting it doesn't include disclose the "$10k per year" he said he received between 2015-2017 since he apparently chose not to file in 2015 and 2016. In 2017 he took in $6k and spent it all on travel and "other expenses."

What's laughable is that EDDIE tried to convince investors that Hannah and his big league sports celebrity connections would be the secret sauce that he (Eddie) needed to make another run at his STARFEST sports collectibles/ art/ "nutraceutical"/ nutritional/ health and wellness multi-level-marketing scam. (Anyone who has gotten an eye full of Eddie lately can instantly see he has no clue about nutrition and wellness unless it comes from a wine bottle).

Anyway, there you have it... two old burned out wannabe world changers each expecting the other to deliver the goods. PFAY HADN'T FILED A TAX RETURN SINCE 2017 and even then it only had revenues of $6k!!! I'm sure Eddie promised Hannah the moon as always. After all Eddie only wants is a pumpable story. This one went nowhere so he abandoned it.. and the kids it supposedly benefited.
