He's petitioning the court to extinguish the 6.2 shares that were illegally issued to friends and family. A CEO can't just hand out shares like candy, there must be some quid-pro-quo. The recipient must have done SOMETHING to "earn" the shares or traded something of value. That didn't happen in this case.
