3) Effective November 30, 2018, Daniel Cohen effectively transitioned from his role as the Chief Operating Officer of Ecosciences, Inc., a Nevada corporation (the “ Company ”), to the Head of Sales & Marketing of the Company and the Chief Operating Officer of Eco-Logical Concepts, Inc., a wholly owned subsidiary of the Company. The move was made in order to enable Mr. Cohen to focus primarily on the sales and marketing of the Company’s products and was not due to any disagreement between Mr. Cohen with the Company’s management, board, or auditors.

In connection with the foregoing, the Company and Mr. Cohen entered into a Transition Services Agreement, dated November 30, 2018. A copy of the Transition Services Agreement is filed as Exhibit 10.1 to this Form 8-K and is incorporated by reference herein.
