PFE shares will automatically drop at the time of the spinoff because the “new” PFE will be a smaller company without the Upjohn division; however, this drop in PFE’s share price will be offset by the market value of the Viatris shares you receive in the spinoff.

Whether the Viatris deal is ultimately good or bad for PFE shareholders is impossible to say at this point.
