No diltution for minimum of 90 days and only if they fail to make their payment can they convert shares to sell. They also only convert at closing bid price of the previous day. So technically no not yet anyway. 90 days of smooth sailing minimum.
That question shouldn't really be answered until we see what kind of revenue the company generates for Q3. Very possible they generate enough revenue that could pay this note off before it can convert. JMO
