Sources of Funds for the Arrangement
The Arrangement will be consummated by Bridgeway utilizing a mix of debt and equity. The equity component of the
proceeds is being provided by Bridgeway pursuant to an equity commitment from its former parent company (a U.S.
based family office). The debt component of the transaction is being provided by a U.S. based non-bank lender that the
management team at Bridgeway has worked with in the past. Upon ascertaining certainty of closing, Bridgeway will
escrow the proceeds required to consummate the Arrangement into an interest-bearing escrow account (any interest
