No, it is the failure to notify the Secretary of State about the final resolution/liquidation and wind-up, or the failure to file the required annual report which lists the Officers and Directors, that might indicate a corporation has been abandoned by its officers and directors. When that happens, a custodianship can be granted so the shareholders can elect a new Board and carry on the business of the company.
