On November 7, 2019, the Issuer and Pharmacology University, Inc., a Delaware corporation (“PUI”), executed and delivered a Plan and Agreement of Merger, and the merger contemplated thereby was consummated on December 20, 2019. The stockholders of PUI received merger consideration of 4,875,000,000 shares of Common Stock. Also, the president of the Issuer received 2,000,000 shares of its Series A Convertible Preferred Stock. Pursuant to a separate agreement, Ms. Elizabeth Hernandez, who was then the holder of 4,500,000,000 shares of Common Stock, sold 3,000,000,000 such shares to the Issuer pursuant to a Stock Purchase Agreement, dated November 7, 2019, between the Issuer and her, as amended.

Ms. Hernandez who owns 56% of the commons is listed/shown here.
