Murdick (smarter guy of the two) came in and made the deal without considering and having any representation of the company's 17.5% shareholder. They came up with what ever make sense to Buffington & Murdick to work it out.

Murdick already have golden parachute to Buffington & Co, they are taken care of for handing over the perfect mine to give multi billion within next couple of years. Plus Buffington will benefit from this growth without working as he owns lots of share of this new company.
