the 5% equates to the 1 Preferred C for every 5000 commons owned as of 9/18/20. You have to do nothing for said to happen

(the company will clarify/finalize the conversion rate & holding period details ...appears to be 1C = 250 commons)

5% of common stock that you own. So, you have 10000 shares. On the 18th you get 2 Pref C's, each worth 250 common shares, for a total of 500 shares. 500 gifted shares is 5% of your total holding of 10000!

As BBW said, the 1 preferred share for each 5000 common shares represents a 5% dividend. The preferred Share gift equates to 5% of the common shares.

What is 5% of 5000 shares? = 250 which happens to be the Conversion Rate of the Common to Preferred Shares.
