#567 RE: Foose #566

Alrighty then Foose, WELCOME ABOARD,

Gotta trend I'm trying to capitalize on while our PPS is mired down so low, and based on the trading patterns of our two founders running separate 10b5-1 Insider Trading Plans.
Here's a link to TYME's full set of SEC filings on EDGAR:
Link to TYME Postings through Yahoo.brand.edgar
Calling on the FORM 4's posted by:
(1)Mike Demurjian (Red Bank Mike)deposed as operational officer back around March 2019 after some flubs in clinical trial execution and inflated reporting. Mike still holds over 20 million beneficially-owned shares. Normally sells off 20K blocks in what seems like a discounted rate from the time of trade, multiple trades over the course of the day within that block. Normally becomes a down day for retail holders.

(2)Steve Hoffman. Current CEO of TYME, cited as a PRINCIPAL of the company. Notified us recently of his entry into insider trading through a 10-b5-1 agreement on 16 June 2020 with posting of an 8-K you can find AT THIS LINK. He's limited to selling 7.5% of his current holdings which account for 2-Million shares over a yearly period (June-to-June). Naturally a bad look, although Hoffman's sales seems to include a premium on the PPS and his few sales that I've tracked.

My opinion is Hoffman's sales appear to provide damn near the high for the day or two of trading. Hoffman doesn't limit himself to 20K sale blocks like Red Bank Mike's discount sell offs.
NOTE: Most, by far, other Form 4s posted on EDGAR this year are employ-based compensation options to numerous entities, none of which have been exercised.
As a corporate principal, Hoffman is required to submit a FORM 144 disclosing some factors in the 10-b5-1 contract (like purchaser). Been looking for the release of that form on SEC's detailed search AT THIS LINK. Expecting that the Form 144 record will be filed by September 16th to satisfy the quarterly requirement if I'm reading the rule correctly (no link for that, firing from the hip, I mean unfailing memory).

Good Luck on your new pot. Don't be shy in sharing:). Let me (us) know how you feel about my strategy of buying on Red Bank Mike's filings (discounted sales) and selling on Hoffman's (premium) You never had issues with providing constructive criticism, that I know of.

But who TF am I? Thanks for getting this far.

Very Respectfully!
