i think you are confusing the management title of "director" (generally, one whose reports are managers or supervisors or senior managers, depending ont the organization) with a "director" who is a member of the board of the directors.

There can be LOTS of he former and they are company employees. There are generally only 5-9 of the latter and they need not be company employees.
