Hey buddy, I know you can not get business combination free. Its right there in the GPAQ Investor Presentation document page 26, current HOFV stakeholders ownership = 85%. They are given shares because they bring value. This is not dilution, imo. Once you're on that page 26, also read foot note 11. You'll see what I meant. Numbers may not be exact after merger, give or take few.
What I picked up from the previous poster who reported a post from reddit, I didn't see any huge dilution effect due to exchange of 1.421 for 1 share given to commons. Most of the extra conversion shares were offset by cancellation of Class F shares.

This is not a new concept for a SPAC deal, look at NKL*A, current VectorQ shareholders owns 6.4% of Nikola (point 7 on the deck below). In HOFV's case, the public equity holders will own about 8.6% of ownership (page 26 of the GPAQ Investor Presentation).
