"Or 25:1 or 28:1 or 32:1....It really doesn’t matter."

well the potential ratio is 10-1 to 40-1...and there is a huge difference between them...and that's DOES make a difference...

"Yes they’re placing shares that’s what listed companies do to raise cash"

wrong...if shares were being placed, that would be called a private placement...but that's not what the s-1 is...its a PUBLIC OFFERING...

a private placement would be the way to go under most circumstances...I suspect Maxim already looked into that and found no takers...thus, the public offering..

and yes, listed companies dilute to raise cash..but most also have other options that they can consider like debt financing...but kblb really has no other options other than dilution...kim tried to pretend that if he could get onto Nasdaq, there would be tons of cheap financing available to him...

instead hes going for $24 mil in dilution before he gets onto Nasdaq...wonder why?...

"Primary reason given for raising capital is: irrelevant...

of course kim is going to say its for infrastructure, growth, expansion, equipment...who doesn't say that?...

but I bet he also pays down some of that debt kblb owes him...
