Can someone help me with this? and please correct me anywhere necessary...

First question is this an amendment? and if so what has been amended?

If not...

John Moroney files a 13G/A April 27th 2020. I believe you have 10 days to file once you've gone over the 5% threshold.

His last transaction of shares was in 2018...he's had the same number of shares since then...so why file now?..again if its just an amendment then likely just doing some cleaning up?

If not could he have been just under the 5% and something like a company buyback or some other retirement of shares put him over the limit triggering the filing?


I'm guessing its likely its just some cleaning up for some reason or something changed that had to be amended. But if this company is experiencing a mass influx of cash and believe their shares are very undervalued they might want to take a few hundred thousand or million and retire some shares while cheap for use later down the road. Which also might explain some of the delay with news? Even just a few million shares retired would effect the ownership %'s here.

I don't know just some thoughts and looking for some clarity around all of this.

And if the company has started a buyback do they have to disclose that to shareholders within a certain period of time or can they just remain silent and collect shares? (If that is what's happening?)
