No that's not correct. S-1 provides a detailed look into the Company business, Financial Statements, Material events, etc.
Most importantly a S-1 is required to be filed with the SEC by any company seeking to be listed on a National Exchange - This is RXMD goal - to be listed on a National Exchange by the Fall.
It is not necessarily a Registration for new shares.
