DECN BOZO BERMAN wiped out hundreds of shareholders to get under the 500 registered shareholder rule to become non SEC reporting. They have way over 500 shareholders and should be a reporting company.

Which means the terms of the note should be 8k'd. Also, the $1,000,000 is subscriptions which generally mean deeply discounted shares. The line of credit BS may be non dilutive but the subscriptions are not IMO
