The shares are restricted - they can't sell unless the have a Rule 144 Opinion Letter to remove the restrictive legend.

In most cases the insiders never sell their shares - they create fake companies such as Squad Drone, One Source CBD Sunshine Hemp - Costello is connected to all - so in a all stock acquisition Costello and friends have plenty of shares to sell.
