(PINKSHEETS: BKMP) is pleased to inform its shareholders that it has worked out an arrangement with the holders of the convertible debenture that there will be NO more conversions of the debenture to common stock for the next 18 months, in addition to the moratorium on the conversion the company at its option can repay the debenture at any time during the next 18 months without any penalties or bonuses of common stock and the final terms of the negotiation was the debenture can be converted, at the option of the debenture holders, into a long-term loan to the company payable in five years with a 10% interest rate on the loan.
"We are very pleased that we could work out these very favorable terms on the convertible debenture and that this stops the dilution of the common stock. Life can't get much better for Mike Garrow. What was once just a dream is now a reality that has consumed much of his time and passion for the past year.
With its eclectic collection of chokeholds, bodyslams and roundhouse rights, The Fight Network is packing plenty of punch in Canada. And Garrow, the 35-year-old Ottawa native now living in Toronto, says it's only going to get bigger and better.
"For all intents and purposes, Canada is done, said Garrow, The Fight Network's president/COO and co-founder. "We got Bell Express Vu this week, with Shaw still to come.
"What I'm focused on now is the United States ... we've got three different opportunities we're looking at. I think you'll see The Fight Network in the U.S. in 2007 in some capacity. It'll be the first time a Canadian digital specialty channel goes to the U.S."
With the network's first anniversary just passing, Garrow says there's plenty of exciting changes on the way.
The Fight Zone, hosted by Mauro Ranallo, will provide a strong news element with an inside look at mixed martial arts, boxing and wrestling. A ticker is also on the way. Up soon is a TV version of radio's weekly Live Audio Wrestling. And before and after major pay-per-views, Jason Agnew and Dan "The Mouth" Lovranski will have a 90-second segment done in a "shoot" style breaking down matches.
Randy "The Natural" Couture was signed as the lead MMA analyst and company ambassador to add star power.
Along with the usual wrestling fare, The Fight Network has an upcoming 13-part series called Icons of Wrestling, featuring stars like Antonio Inoki and rare footage of bouts like Abdullah the Butcher vs. Hulk Hogan. Also scheduled are a documentary on Tiger Jeet Singh and another called BodySlam, which includes Christopher Daniels.
In November, The Fight Network will feature Sunday Night Supercards, with such events as WFA King of the Streets and Ali vs. Frazier 2.
Also, look for The Fight Network to spread some of its programming to different time slots. You won't see wrestling in blocks ... it'll be sprinkled around.
The network has launched Fight Mobile, which is available on Cingular, Verizon and Sprint in the U.S. and Telus in Canada.
Garrow says The Fight Network has poured itself into making this work. "We take none of this for granted," he said. "Everybody is fired up with what we do."

Television
Canada is basically finished with regards to our penetration on the cable and satellite carriers, we have also added some IPTV providers as well. Since last reported The Fight Network has added over a dozen new carriers, most significant is Bell ExpressVu. By early next year they will have completed all the second tier carriers that have the ability to carry their network on their system and it will be time to move to international markets.
TFN is presently in various stages of discussions with carriers and providers in a number of overseas markets:

They hope to finalize a number of these in the next 12 to 24 months and have presence in every corner of the globe before the end of this decade.
Nielsen Media Research
They are continuing to post extremely good results and they are maintaining their position in the digital marketplace in Canada as the top sports specialty network in the country.
Fight Network Radio
It is their goal to expand their weekly LIVE talk radio show "Live Audio Wrestling" into other markets outside Canada and they have started to explore those options.
In addition they will be launching in the first or second quarter of 2007 a daily internet MMA radio show with there news team that will be available from there website.
Fight Mobile
They are getting some great feedback from the carriers on the Fight Mobile service. This service enables fight fans to get up to the minute news, information and round by round results plus more, right to their cell phones.
They are looking to expand this coverage to other carriers and are actively working with there partners to do this.
In addition they will be offering SMS texting, ringtones, ringbacks, wallpaper and video content for mobile phones in 2007.
The final frontier for the mobile phone will be mobile TV -- they are actively looking at this opportunity will a number of potential partners from around the world and they anticipate rolling this out in 2007 as well.
