From my understanding, and Matthew would be able to confirm or correct this, but since insiders own the majority of shares they can opt to operate as necessary without the need for a vote as long as they all agree. Basically, it doesn't matter what we vote, as any vote we cast won't make up more than they have, so it is a moot vote, hence why we were never asked.

This is the information you're looking for. Its the share ownership and share percentages for the officers, directors, and control persons at $UCPA.

As you can see this group owns 76.141% of the total O/S. When they vote to restructure $UCPA everything will be done in accordance with the law.

In fact, it only takes the CEO and Company Secretary (69.257%) to reach the minimum voting threshold.
