ARTICLE V

INTELLECTUAL PROPERTY



Section 5.1 Improvements.

All developments, including inventions, whether patentable or otherwise, discoveries, ideas, improvements, trade secrets, and writings which arise from, are in connection with or relate to the Licensed Products or the Licensed Technology, and which the Licensee, either by itself or in conjunction with any other entity, entities, person or persons, has acquired, acquired knowledge of, conceived, developed or made while engaged in any activity on behalf of or while acting for the Licensor or otherwise as contemplated by the MOU and the other agreements, certificates, documents and other instruments contemplated by the MOU during the term of this Agreement (the “Improvements”), shall, on and after the start of the Term, be owned by and shall become the sole and exclusive property of the Licensor. The Licensee hereby assigns, conveys and transfers, and agrees to so assign, convey and transfer to the Licensor, all of its right, title and interest in and to any and all such Improvements and to disclose in writing to the Licensor, as soon as practicable, all Improvements that it believes in its good faith judgment may be of material significance to the Licensor, and to reduce any such Improvements to writing at the request of the Licensor if it has not already done so. At any time, and from time to time, upon the request and at the expense of the Licensor, the Licensee will, and will cause its Agents to, execute and deliver any and all instruments, documents and papers, give evidence and do any and all other acts which, in the reasonable opinion of counsel for the Licensor, are or may reasonably be necessary or desirable to document such transfer or to enable the Licensor to file and prosecute applications for and to acquire, maintain and enforce any and all patents, trademark registrations or copyrights under United States or foreign law with respect to any such Improvements or to obtain any extension, validation, reissue, continuance or renewal of any such patent, trademark or copyrights.

Originally planned to occupy 20,000 sq. ft., Tech City is now being constructed to a 75,000 sq. ft. footprint, with redesigned waste management and recycling systems to support the multi-story quantum dot laboratory and factory complex.

Oddly enough no one, including QMC, can produce photographs of this facility which is taking longer than the pyramids of Giza.

The QDSC Factory will make flexible, light weight solar cells by R2R (roll to roll) printing processes at hundreds of meters per minute.

So you say. And what is your batting average on your previous prognostications?

QMC does not publish their numbers probably for a number of reasons:

They don't have to make numbers public. What advantage is it if they have not introduced an actual product?

The only reason for this is that no product exists.

The sales process for QDSC Factories is a private one, not public.

This is somewhat reasonable.

Nobody knew they were selling Assam a JV for a QDSC Factory until the deal was done. The fact is they sold it without making anything about it public.

The deal was never actually done. The license fee was never paid as contractually agreed upon. It was obvious over 1 year ago.

All we know is the factory size and that 15 percent efficiency is the contractual goal.

It's possible QMC keeps it's IP secret for competitive reasons. Why would they let the competition know their secrets?

They call it intellectual property for a reason. It is protected.

The shareholders update shows QMC working on many fronts, solar Factories in new regions, building a QDSC Factory, Display tech, and Anticounterfeiting DLT Blockchain.

So they say. But potential clients are unimpressed. Otherwise they would do business.

A new JV, QMC Vertical Industries is coming, with funding.

Why? So POS Squires can further dilute any potential profit from shareholders or worse yet; withhold it completely.

It's been almost a year since QMC referred to Qamronics, I think the proper reference today is to Amtronics India LLC.
