Quick question, What's the difference between a share buyback, and a retirement of shares? (Besides the obvious)

It seems to me a buy back wouldn't help the pps because the shares are still valid.

I ask because I've seen companies with a huge float and an equally big amount of restricted shares do this.(The buyback)
