The non-derivative part of these SEC 4 forms are definitely compensations. The derivative part is also filled in with transaction code A, which is Grant, award or other acquisition pursuant to Rule 16b-3(d). However, the price of $0.45 makes this transaction look like to happen during the latest direct offering. I wonder whether buying in a direct offering has transaction code A or V but I don't have an answer.
