Forget the NOL....again...forget any form of reverse merger or change in control. This Company has a sub-license agreement on 5 Patents with Facebook. This Company sub-licensed such to Facebook.

When you have a non-transferable license(patent)....a change of control may(probably) make that agreement nul and void. This Company can use their carry forwards though...and the NOL would come in handy..eh?

Remember ...nearly all sub-license agreements carry revenue. It is pretty sweet understanding such when it involves Facebook


Sublicenses can help maximize royalty income to a licensor, but ongoing communication among all parties is necessary for everyone to be on the same page.
