An RS does not have to be bad news all the times, take a look at the RS of Turtle Beach (HEAR)last year. It all depends on the reasons why. If the reason is to further dilute the stock, it is a very bad sign. What bothers is the news of a new CEO. Without hard facts of any improvements of achievements, the only thing sure is this new CEO very likely costs a lot of money and almost sure he will receive a package of shares and options to acquire shares.
