A private sale is indeed possible, but...

that sale cannot be significantly above the current trading value. The SEC would jump ALL over it. Private sales are arranged to move large blocks of stock that would otherwise drastically increase the volitility of the stock. Mutual funds trade this way almost exclusively because of the size of their transactions. In nearly every case they are fund to fund transfers. If Offor tried to sell 150M shares at $2 with ERHE trading well under that level the SEC would quickly step in, not to mention the lawyers.
