Not all 150 thousand is being converted. They're paying off Ziv with 43,675 shares.

I assume everyone can read the details. No reason to jump to the worst case scenario, which isn't all that bad. There is no cause for concern at this time or well into the future.

provided that, at the time of conversion there are a sufficient number of shares of authorized but unissued shares of Common Stock that are not reserved for other purposes.
