The Visolis transactions are you saying this is fraudulent?
THE MONITOR CERTIFIES THE FOLLOWING:

the Purchase Agreement has been executed and delivered;
the Purchase Price, including any and all Transfer Taxes payable upon the Closing
of the Transaction, has been paid in full by the Purchaser; and
(b)
ail conditions to the Closing of the Transaction have been satisfied or waived by the
parties thereto.

This Certificate was issued by the Monitor at 15:00
time the Closing Time is deemed to have occurred.
