Per the SEC, Section 17A(c) of the 1934 Act requires that Transfer Agents (TAs) be registered with the SEC, or if the transfer agent is a bank, with a bank regulatory agency. TAs must file a Form TA-1 to become a TA, and must submit their fingerprints to the FBI for a criminal records check. Form TA-1/TA-2: The form must be filed with and approved by the appropriate regulatory agency before a transfer agent can perform any transfer agent function for a qualifying security.
