I didn't say they own it, well I didn't mean it that way, I meant if the terms aren't met, the IP will not be transferred, and then they still own it. It seems like some kind of safety to me.

As for the post about until GERS files an 8-k. When you get acquired you don’t file an 8-k... the purchaser does. KK signed the 8-k filed by ATIS.


Any change of ownership of Greenshift's G shares is a material change in the ownership of the Greenshift Corporation because those shares are 80% of the entire voting power of GERS stock.

Bitzio used to own those shares, but now that Bitzio has ceased to exist, someone else is the new legal owner of those shares. Even if that entire share class was cancelled, the shares that the people on this board (and others) own would then become, in total, 100% of the GERS total, and that would mean that there is still a material change in the majority ownership of this corporation (from the owners of the G shares to the rest of us).

If GERS was registered on either the NYSE or the NASDAQ, that change of ownership of 80% of the entire voting stock would require Kevin, the Greenshift CEO, to send the U.S. Securities and Exchange Commission an 8-K to document that change.

If Greenshift is required by the Appeals Court, or by the terms of any contract, to send the S.E.C. all of the missing 10-Ks, 10-Qs, 8-Ks, and Form 4s, that 8-K (the one that documents the change in the ownership of Greenshift's G shares) will be one of the forms that he will submit, regardless of whether or not any other corporation has already documented this transfer with their own 8-K.

For the benefit of any new readers of this board, I have been demanding that Greenshift send that 8-K and the 10-K for calendar 2016 to the S.E.C. for many months.
