I read the Orders. The Court denied the MSJ as it identified a legitimate dispute as to whether the first two Conditions Precedent could be waived under Florida's Doctrine of Waiver. GDSI believes their "waiver" was legitimate as they were included for GDSI's benefit alone. Rontan disagrees and believes the Conditions were for their benefit as well as GDSI could not afford to acquire the shares without GCAP's money.

This outstanding issue now goes to the Jury.
