Lcy can have nothing to do with the BioAmber name . They dont want their website. But they do have the ip address. The debt ridden Delaware shell still has its name and it belongs to no one but the shareholders.
10 Change Names. The Liquidation Team (but, insofar as the Monitor is concerned, only
until its discharge pursuant to the CCAA Proceedings) shall collaborate with the Purchaser
using all commercially reasonable efforts to cause the Vendors and any of their Affiliates, where
applicable, to change their corporate and business names to names that do not contain the
name “BioAmber”, such changes being at the Purchaser’s costs and expenses. The Vendors
and their Affiliates will in perpetuity refrain from using any such names following the Closing,
except (i) that BioAmber US shall not be required to change its corporate name and (ii) to the
extent as may be required in the context of the CCAA Proceedings or in connection with the
sale, exhaustion or other disposal of business forms, correspondence and other materials
bearing or identifiable by the “BioAmber” name in the possession of the Vendors at the Closing
Time and not otherwise transferred to the Purchaser pursuant to this Agreement.
