"Under the Loan Agreement, the Company is required to meet certain minimum revenue targets measured at the end of each calendar quarter. For the quarter ended September 30, 2019, the Company did not achieve this revenue covenant. As partial consideration for the waiver of this revenue covenant, the Company agreed to amend, by no later than November 6, 2019, that certain Warrant to Purchase Stock, issued to Innovatus on March 22, 2019 (the “Warrant”) to decrease the exercise price per share of the Company’s Common Stock subject to the Warrant from $4.63 per share to $0.48 per share.
