If Gino isn't acting as the company's CFO then why are we paying his salary?

He has one job, to make sure the financials are in order.

Why didn't he sign the 10-Q? Does he not think it's accurate? If not he needs to report it to the SEC.

Gino has a fudiciary duty to sign an accurate 10-Q, report inaccuracies of the released 10-Q, or quit because he is getting paid by shareholders to do nothing!
