If they’re raising $3,000,000 at market level prices or possibly more, then what’s the concern here?

I’ve witnessed companies who had a series private placements at market. Each time one was announced the price moved up. Each financing round was done at a greater valuation. Since they are raising the capital in multiple rounds over the next 4 months as per the 8-K, this could be a similar situation.

As for control, I believe Wais maintains voting rights as he always has. They won’t be issuing themselves more common shares to keep the balance of power.
